1 About Us and Scope of Service

Axis Acre Ltd (Company Registration Number: 17291592, registered in Wales) provides professional media production, videography, photography, floor planning, aerial drone media, and digital property marketing services across social media and digital platforms.

2 Non-Agency Disclaimer & Deferred Fee Clarification (IMPORTANT)

We do not operate under the Estate Agents Act 1979 or Property Ombudsman schemes. We do not participate in price negotiations, verify legal title deeds, hold client deposit funds, or structure sale agreements. Any contract, negotiation, or transaction arising between a property seller/landlord and a prospective buyer/tenant is strictly between those parties.

3 Client Ownership Declaration & Authority

By booking or engaging our services, the client explicitly warrants, declares, and confirms that they are either the lawful sole/joint legal owner of the property or possess full written legal authorization from the property owner to commission marketing media, allow site entry, and display property and contact details publicly. The client agrees to fully indemnify and hold harmless Axis Acre Ltd against any third-party claims, legal disputes, or damages arising from unauthorized property marketing.

4 Payment Structure and Ratio-Based Deferred Fees

Services are billed based on our pre-agreed Standard Base Fee (100% / 1x Rate) under two distinct payment options:

Option A (Standard Upfront Option)

The client pays the single Standard Base Fee (100% / 1x) prior to or upon completion of media production for full service settlement.

Option B (Deferred / Pay-Later Option - Zero Upfront)

• Zero Upfront Cost: Services are delivered with 0% upfront payment required from the client prior to media production.
• Successful Sale Completion: If the property is successfully sold within 12 months of service delivery, the client agrees to pay a total deferred fee equivalent to 400% (4x) of the Standard Base Fee upon legal completion or contract exchange.
• Unsold Property / External Sale (After 12 Months): If the property remains unsold after 12 months from service delivery, or if the property is sold through an external third-party estate agency or broker, the client undertakes a binding legal obligation to pay a minimum deferred service fee equivalent to 200% (2x) of the Standard Base Fee to cover media production, administrative, and holding costs.

5 Additional Fees and Price Adjustments

• Travel and Mileage Fees: Quoted fees cover property locations within our standard primary coverage zone in Wales and the UK. For properties located outside our standard coverage area, an additional travel/mileage fee may apply to cover transit time and fuel expenses, which will be confirmed prior to filming.
• Property Size & Scope Variations: Quoted prices reflect initial property details supplied by the client. Axis Acre Ltd reserves the right to adjust final fees if the actual property size, land acreage, or scope of work significantly exceeds the initial description provided.
• Client Delays & On-Site Requests: If our production crew experiences delays exceeding 30 minutes due to lack of access, property unpreparedness, or late key handover, waiting fees may apply. Unscheduled media requests made on-site (e.g., additional floor plans or aerial shots) will be billed separately.
• Re-Shoots & Express Delivery: Re-shoots requested due to physical property alterations made post-filming, or requests for urgent/express media editing (e.g., within 24 hours), will incur additional service charges.

6 Content Approval & Revision Window

Upon electronic delivery of draft media (videos, floor plans, or photographs), the client has a 5 business days review window to request reasonable technical edits or minor corrections.

7 Electronic Acceptance of Terms

By issuing payment, paying an invoice deposit, completing an online booking form, or written confirmation via Email or Messaging platforms (e.g., WhatsApp), the client acknowledges and accepts these Terms & Conditions in full without exception.

8 No Guarantee of Property Sale or Letting

Non-Refundable Services: Service fees are based on the creation and distribution of promotional content, not on property sale completion. Fees are non-refundable once media production and marketing execution have commenced.

9 Client Contact Preferences & Third-Party Communication

• Consent & Display of Details: By using our marketing services, the client explicitly consents to Axis Acre Ltd displaying their designated contact details (e.g., phone number, email, or preferred communication channels) directly within property videos, website listings, and social media promotions to enable direct buyer inquiries.
• No Control Over Third-Party Behavior: Axis Acre Ltd has no operational or legal control over when, how, or through what medium prospective buyers contact the client. Axis Acre Ltd accepts no liability for calls or messages received by the client outside their preferred timeframes or via unrequested communication channels.

10 Privacy Policy, Data Protection & GDPR

Axis Acre Ltd collects personal data (names, contact details, property information) strictly to execute media production, manage marketing campaigns, and satisfy legal accounting requirements in compliance with UK GDPR and the Data Protection Act 2018.

Personal details displayed in marketing materials are processed based on explicit client consent. A complete Privacy Policy and Cookie Policy detailing data rights, storage, and processing is available on our official website or upon request via info@axisacre.co.uk.

11 Drone & Aerial Footage

• Background Property Capture: Aerial media production is designed to showcase the subject property and its immediate surroundings. Aerial footage may incidentally capture adjacent properties or public spaces. Axis Acre Ltd adheres to reasonable privacy standards and does not intentionally target neighboring properties.
• Compliance & Safety: All drone operations comply with UK Civil Aviation Authority (CAA) regulations. Axis Acre Ltd reserves the right to cancel or modify drone operations due to adverse weather, airspace restrictions, or safety concerns without financial penalty or liability.

12 Accidents, Property Damage and Liability

• Site Safety & Hazards: The client must ensure the property is safe and free from hazards for our media crew and inform us in advance of any structural risks or dangerous pets.
• Accidental Damage & Liability Limits: Axis Acre Ltd shall not be liable for accidental property damage or loss, save for damage directly caused by proven gross negligence on the part of our personnel.
• Limitation of Financial Liability: To the maximum extent permitted by law, our total financial liability for any claim arising out of our services shall be strictly limited to the total service fee paid by the client for the specific engagement.

13 Intellectual Property, Copyright & Payment Default

• Copyright Ownership: All copyright and intellectual property rights in media created by Axis Acre Ltd remain the exclusive property of Axis Acre Ltd.
• Usage License: Upon full settlement of applicable fees, the client is granted a non-exclusive license to use the media content solely for advertising the specified property.
• Payment Default & License Revocation: Until full payment is received (or in the event of payment default under a Deferred Payment Agreement), the client holds no rights or license to use, distribute, or display any produced media. Axis Acre Ltd reserves the right to immediately unpublish, remove, or restrict access to all promotional materials, videos, and social media listings in the event of default.

14 Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes, claims, or proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
